Sales and Service Terms and Conditions

These Sales and Service Terms and Conditions (“Terms”) govern the sale of products and provision of services by Digital Scan 3D LLC (“Company”) to any customer (“Client”).
By accepting a quotation, purchase order, invoice, or service agreement from Digital Scan 3D LLC, the Client agrees to these Terms.
1. Scope of Services
Digital Scan 3D LLC provides services including but not limited to:
- 3D scanning services
- Reverse engineering
- CAD modeling
- Dimensional inspection and metrology
- Engineering consulting
- Product design support
- Rental equipment or training
- Technical staffing and contract engineering
The specific scope, deliverables, and pricing will be defined in a written quotation, statement of work (SOW), or service agreement issued by the Company.
2. Quotations and Orders
- All quotations are valid for 30 days unless otherwise stated.
- A project begins only after written acceptance of the quotation or receipt of a purchase order.
- Any changes to scope may result in additional charges and schedule adjustments.
3. Pricing
Prices may be structured as:
- Hourly rates or Fixed project pricing
- Daily engineering rates
- Equipment rental fees
Unless otherwise stated:
- Prices do not include taxes, shipping, travel, or lodging.
- Client is responsible for all applicable sales tax, duties, and government charges.
4. Payment Terms
Standard payment terms are:
- Net 0 without a PO or
- Net 30 days with PO from invoice date unless otherwise agreed.
- Late payments may incur 3.0% interest per month or the maximum allowed by law.
Digital Scan 3D LLC reserves the right to:
- suspend work on overdue accounts
- require deposits or milestone payments for large projects.
5. Client Responsibilities
The Client agrees to:
- Provide accurate project specifications and requirements.
- Supply parts, drawings, or data necessary to perform services.
- Ensure parts provided for scanning or inspection are clean, safe, and suitable for scanning.
- Provide safe working conditions when services are performed onsite.
Digital Scan 3D LLC is not responsible for delays caused by missing or incorrect information.
6. Delivery and Scheduling
Project timelines provided by Digital Scan 3D LLC are estimates only.
The Company will make reasonable efforts to meet agreed delivery schedules but is not liable for delays caused by:
- client changes
- equipment failure
- material issues
- force majeure events.
7. Intellectual Property
Unless otherwise agreed in writing:
- The Client owns the final deliverables produced specifically for them after full payment.
- Digital Scan 3D LLC retains ownership of:
- internal methods
- proprietary processes
- scanning workflows
- software tools.
The Company may retain non-confidential project data for internal records.
8. Confidentiality
Digital Scan 3D LLC will treat all client data, designs, and materials as confidential and will not disclose such information without permission except where required by law.
9. Inspection and Acceptance
The Client must review delivered work within 10 business days of delivery.
If no written objection is received within that period, the work shall be considered accepted.
10. Warranty
Digital Scan 3D LLC warrants that services will be performed:
- in a professional and workmanlike manner
- using generally accepted engineering practices.
This warranty does not guarantee that:
- Scanned data will be suitable for every manufacturing application
- Reverse-engineered models will replicate original design intent unless specified.
The Company will correct verified errors at no additional charge if reported within 30 days of delivery.
11. Limitation of Liability
To the maximum extent permitted by law:
Digital Scan 3D LLC shall not be liable for indirect, incidental, or consequential damages, including but not limited to:
- lost profits
- production downtime
- product recall costs.
Total liability shall not exceed the amount paid by the Client for the specific services in question.
12. Equipment Damage and Risk
If the Client provides parts or equipment:
- The Client assumes responsibility for damage caused by fragile or defective components.
- Digital Scan 3D LLC will exercise reasonable care but is not liable for pre-existing defects or hidden weaknesses.
13. Staffing and Contract Engineers
When Digital Scan 3D LLC provides contract engineers:
- Engineers remain employees or contractors of Digital Scan 3D LLC.
- The Client agrees not to directly hire or solicit them during the assignment and for 12 months after the project unless a placement fee is paid.
14. Cancellation
Projects cancelled after work begin may be charged for:
- work completed
- materials purchased
- reserved engineering time.
15. Force Majeure
Digital Scan 3D LLC shall not be liable for failure to perform due to events beyond reasonable control including:
- natural disasters
- war
- labor disputes
- government actions
- supply chain interruptions.
16. Governing Law
These Terms shall be governed by the laws of the State of Oregon, United States.
Any disputes shall be resolved in courts located in Oregon unless otherwise agreed.
17. Entire Agreement
These Terms, along with any quotation or service agreement issued by Digital Scan 3D LLC, constitute the entire agreement between the parties.
Any modifications must be in writing and signed by both parties.
